1. Acceptance
In plain English: Using MemoryMaps means you agree to these terms. You must be 13 or older to use the Service.
These Terms of Service (“Terms”) form a binding agreement between you and MemoryMaps (“we,” “us”). By creating an account, accessing the Service, or otherwise using MemoryMaps, you accept these Terms. If you do not agree, do not use the Service.
You must be at least 13 years old (or the equivalent minimum age in your jurisdiction) to use MemoryMaps. We require email verification before you can post or send messages.
2. Account responsibilities
In plain English: Keep your credentials safe, don't impersonate others, one person per account, accurate information.
You are responsible for:
- Keeping your password and any sign-in tokens secure; activity under your account is your responsibility.
- Not impersonating another person, brand, or organization.
- Not sharing your account or operating multiple accounts for purposes of evading suspensions or rate limits. One person per account.
- Providing accurate information at sign-up and keeping your profile information current.
- Notifying us promptly of any suspected unauthorized use of your account.
3. Your content
In plain English: You keep ownership. You grant us a limited license to host and display your content so the Service can run.
You retain all ownership rights in the photos, videos, captions, comments, messages, and other content you post (“Your Content”).
By posting Your Content, you grant MemoryMaps a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, display, distribute, and create derivative thumbnails, transcodes, and previews of Your Content for the purpose of operating, improving, and providing the Service. This license ends when you delete Your Content, except for:
- Reasonable backup-retention windows for disaster recovery.
- Content already shared by others on the Service (e.g. re-shares, comments referencing the content, screenshots taken by other users).
4. Content rules
In plain English: No illegal, harassing, threatening, deceptive, or infringing content. Automated moderation may remove content; you can appeal.
You may not post content that:
- Violates any law or regulation applicable to you.
- Harasses, threatens, defames, or incites violence against any person or group.
- Constitutes hate speech, terrorist propaganda, or promotes self-harm.
- Is sexually explicit involving real people without consent, or any sexual content involving minors. We report apparent CSAM to NCMEC as required by 18 U.S.C. § 2258A.
- Impersonates another person or entity, or doxes (publishes private personal information about) another person without consent.
- Infringes intellectual property rights. To submit a DMCA takedown notice or counter-notice, email hello@memorymaps.app.
- Is unsolicited commercial messaging, scams, or spam.
We use a combination of automated tools and human review to moderate content. We may remove content, hide it pending review, or limit its distribution. If your content is removed and you believe it was a mistake, you can appeal by emailing hello@memorymaps.app.
5. Prohibited conduct
In plain English: Don't reverse-engineer, scrape at scale, evade bans, or abuse the platform.
You agree not to:
- Reverse-engineer, decompile, or disassemble the Service.
- Scrape data from the Service at scale or in a manner that imposes an unreasonable load.
- Use bots, automation, or third-party clients in a way that abuses the Service.
- Evade an account suspension, ban, or rate limit.
- Exploit bugs to gain unauthorized access to data or features.
- Interfere with security features, including content moderation pipelines.
- Use the Service in any way not expressly permitted by these Terms.
6. Intellectual property
In plain English: MemoryMaps owns the platform IP. Your trademark and copyright rights are protected; DMCA process below.
The MemoryMaps name, logo, software, and underlying platform are owned by us and protected by copyright, trademark, and other intellectual-property laws. You may not use our trademarks without prior written permission.
We respect intellectual-property rights and ask that you do the same. If you believe content on the Service infringes your copyright, send a DMCA takedown notice to hello@memorymaps.appwith: identification of the work, the allegedly infringing material and its location, your contact info, a good-faith statement that the use is not authorized, a statement under penalty of perjury that you are authorized to act, and your signature. We will review and respond. Counter-notices follow the standard 17 U.S.C. § 512(g) process.
8. Termination
In plain English: You can delete any time. We can suspend or terminate for terms violations. CSAM accounts are banned permanently.
You may delete your account at any time from Settings. Account deletion is subject to the 30-day grace period described in our Privacy Policy.
We may suspend or terminate your access to the Service, in whole or in part, with or without notice, for any material violation of these Terms, repeat violations of our content rules, or to protect the safety of users. CSAM posting results in immediate suspension and may result in permanent banning.
The following sections survive termination: 3 (Your content, the limited license for content already shared by others), 6 (Intellectual property), 9 (Disclaimers), 10 (Limitation of liability), 11 (Indemnification), and 12 (Dispute resolution).
9. Disclaimers
In plain English: The Service is provided as-is. No warranties beyond what's required by law.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. Beta or preview features may be removed or changed at any time and are expressly provided without warranty.
10. Limitation of liability
In plain English: Liability is capped at $100 USD or what you paid us in the last 12 months, whichever is greater.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MEMORYMAPS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.
OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100) OR (B) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow the limitation of certain damages; in those jurisdictions, the above limitation applies only to the extent permitted by law.
11. Indemnification
In plain English: You agree to defend us against claims arising from your breach of these terms or your content.
You agree to defend, indemnify, and hold harmless MemoryMaps and its operators from any claim, demand, or damages arising out of (i) Your Content, (ii) your violation of these Terms, or (iii) your violation of any third-party right, including any intellectual-property, publicity, or privacy right.
12. Dispute resolution
In plain English: Talk to us first. Most disputes can be resolved by email. If not, individual arbitration applies. Small claims is always available.
Informal resolution. Before filing any claim, you agree to email hello@memorymaps.app with a description of the dispute and proposed resolution. We will work in good faith to resolve the dispute for at least thirty (30) days from the date of that email.
Binding individual arbitration.If we cannot resolve the dispute informally, any remaining dispute will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Arbitration is conducted on an individual basis: an arbitrator decides one user’s dispute at a time and may not consolidate multiple users’ claims into a single proceeding. We do not require you to waive your right to participate in a class action; if a court finds this arbitration provision unenforceable, that ruling does not prevent you from joining a class proceeding in court.
Small-claims carve-out. Either party may bring a qualifying claim in small-claims court instead of arbitration.
Exceptions. Nothing in this section limits either party from seeking emergency injunctive relief in a court of competent jurisdiction.
13. Governing law
In plain English: These Terms are governed by California law (placeholder; will be confirmed at incorporation).
These Terms are governed by the laws of the State of California, USA, without regard to its conflict-of-laws principles, except where superseded by mandatory consumer protections of your country of residence.
14. Changes
In plain English: Material changes are announced 7 days in advance via email and in-app.
We may update these Terms from time to time. For material changes, we will notify you by email and in-app at least seven (7) days before the change takes effect. Your continued use of the Service after the change takes effect constitutes acceptance of the updated Terms.
